From getting your company ready for sale, to signing letters of intent and purchase or sale contracts before a civil-law notary.

Advice in three stages

At BDO we always work together in multidisciplinary teams, ensuring that we can deal with any issue. If necessary, we use advanced mathematics, but always keep our feet firmly on the ground. Strict deadlines are second nature to us. Our advisers always position themselves between potential buyers or sellers. so we can give you a strong negotiation position and keep control over any emotions that may affect the purchase or sale.

Our services in company acquisitions can broadly be divided over three phases:

Phase 1: Analysis of the business

We compile valuation reports, information memoranda and lists of potential buyers or sellers. We provide overviews of potential buyers or sellers, advise on expected prices and ensure that your business is presented properly.

Phase 2: Approaching potential buyers and conducting negotiations

We inform potential buyers or sellers, analyse offers, conduct negotiations and prepare bid letters and letters of intent. Through our advisers you can always approach parties anonymously. Our international BDO network gives you permanent access to the right contacts.

Phase 3: Structure the transaction

We support and coordinate your dataroom, assess the purchase agreement, structure your transaction and conduct negotiations for you. Thanks to our extensive experience in coordinating and supporting audits, our advisers form a strong and extra link between you and the other party. The preparation and assessment of legal contracts is always carried out in close collaboration with a legal expert (if required, in collaboration with our colleagues of BDO Legal).
